MIAMI AI CLUB MEMBERSHIP AGREEMENT
The Miami AI Club is an exclusive community of decision-makers, thought ​leaders, entrepreneurs, and AI enthusiasts dedicated to ​making a positive impact through the responsible use of artificial intelligence. This Membership Agreement (this “Membership Agreement”) is between Miami AI Club LLC, a Florida limited liability company (“MAIC”), and the individual accepting these terms (“Member” or “you” or “your”). This Membership Agreement governs your membership with MAIC (“Membership”) along with any services provided by MAIC during your Membership (the “Services”).
YOU UNDERSTAND THAT BY CLICKING THE “I AGREE” BUTTON OR BY USING YOUR MEMBERSHIP, BEING A MEMBER OR USING ANY OF THE SERVICES IN CONNECTION THEREWITH, YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THIS AGREEMENT, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH MAIC, AND (3) YOU HAVE THE AUTHORITY TO ENTER INTO THIS MEMBERHSIP AGREEMENT. MEMBERSHIP IN MAIC IS CONTINGENT ON THE ACCEPTANCE OF THIS MEMBERSHIP AGREEMENT.
1. Benefits and Responsibilities. As part of your Membership, you agree to the Membership Benefits and Responsibilities specified on the Miami AI Club Membership Criteria page of the MAIC website (https://join.miamiaiclub.com/).
2. Individual and Sponsored Memberships. MAIC members include members who have been sponsored or reimbursed by their employer for their Membership (“Corporate Members”) and those who have not (“Individual Members”). Individual Memberships are non-transferable and do not include participation by any other individual. Corporate Memberships may be transferred by the sponsoring employer from the original employee member to another employee member by written notice to MAIC.
3. Membership Dues and Term.
a. Dues: MAIC charges annual dues for Membership (the “Membership Dues”). The annual Membership Dues are (i) $2,500 for Associate Individual Members, (ii) $5,000 for Associate Corporate Members, (iii) $5,000 for Fellow Individual Members, and (iv) $10,000 for Fellow Corporate Members and (v) $50,000 for Founders members. The right to waive or amend Membership Dues shall be at MAIC’s sole discretion.
b. Term: Members agree that by accepting this Membership Agreement they have (i) committed to a Membership term of 12 months (changes to Membership term length can only be amended in writing signed by all parties) and (ii) have agreed to pay the applicable Membership Dues. The initial term of your Membership begins on the date that MAIC informs you that your membership application has been approved.
c. Failure to Pay: Failure to pay your Membership Dues within thirty (30) days of (i) becoming a Member or (ii) any annual renewal of your Membership will automatically result in the termination of your Membership.
d. Renewals and Cancellations: Upon the expiration of twelve (12) months from (i) the initial date of your Membership or (ii) any renewal of your Membership, your Membership will terminate unless you renew it by paying your annual Membership Dues at the then specified and applicable rate. If you cancel your Membership, you may use your Membership until the end of your then-current Membership term; you will not be entitled to a prorated portion of the Membership Dues paid for the then-current Membership term.
4. No Solicitation. Members may not solicit other Members or their guests directly for sales of services or products while at MAIC events unless expressly invited to do so.
5. Publicity Release. MAIC may record, video or photograph any MAIC events for use in membership programs, advertising, promotions, public relations and other commercial and business purposes. By entering or participating in any MAIC event, you and your guests consent to the use of your name, image, actions, voice and/or and likeness and other limited information in any materials MAIC chooses to publish in any medium in any territory, in perpetuity, in any media (including, without limitation, broadcast, cable and satellite television, social media and the Internet ) and for any other lawful purpose, without further authorization or compensation.
6. Confidentiality: Except as otherwise shared publicly by MAIC, all communications and conversations heard or participated in at any MAIC event or during the provision of any of the Services is “Confidential Information”. Such Confidential Information includes, but is not limited to, information that pertains to the business, product, technology, ideas or customers of any Member and all information which is valuable to a Member. Confidential Information does not include information that is (a) public knowledge; (b) in the possession of the receiving party before receipt from the disclosing party through no fault of the receiving party; (c) is disclosed to the receiving party by a third party without breach of confidentiality obligations; or (d) is independently developed by the receiving party without reference to the Confidential Information. Members shall maintain the confidentiality of all Confidential Information and failure to do so will result in termination of your Membership without refund of your Membership Dues.
7. Amendments: This Membership Agreement is subject to change by MAIC in its sole discretion at any time. When changes are made, MAIC will make the new copy of the Membership Agreement available on its website and will update the “Last Updated” date at the top of the Membership Agreement. MAIC may (but is not obligated to) require you to provide consent to the updated Membership Agreement in a specified manner before further use of the Membership or Services is permitted. If you do not agree to any material change(s), you may cancel your Membership on notice to MAIC and receive a pro-rated refund of your Membership Dues for the remainder of the relevant Membership term, and you agree to stop using the Services. Otherwise, your continued Membership or use of the Services constitutes your acceptance of such change(s).
8. Entire Agreement. This Membership Agreement constitutes the entire agreement between you and MAIC and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, with respect hereto. No warranties are given or implied by this Membership Agreement.
